Welcome to Lucifer Stoat Ltd ("we", "us", "our"). These Terms and Conditions ("Terms") govern your use of our website (luciferstoat.co.uk), our client and associate intake mechanisms, and our secure private associate matching interface (the "Portal" or "Associate Hub").

Lucifer Stoat Ltd is an independent digital transformation consultancy. In addition to our core advisory services, we operate a specialised micro consulting ecosystem powered by a curated associate network ("Associate Network"). These Terms define the legal framework for both corporate clients ("Clients") submitting project briefs and independent professional specialists ("Associates" or "Consultants") applying to or utilising our Micro Consulting Hub.

By accessing our website, submitting a form, or logging into the Micro Consulting Hub, you agree to be bound by these Terms.

1. Scope of Service & Engagement Model

• Direct Delivery Model: Lucifer Stoat Ltd is a prime delivery contractor. We provide digital transformation consultancy services directly for our Clients.

• The Portal Function: The Micro Consulting Hub serves as our secure internal infrastructure to present specialised client requirements to vetted members of our Associate Network. It is not a public job board or an open freelance marketplace.

• Vetting Discretion: We retain absolute commercial discretion over who is admitted into our Associate Network and granted Portal access. We reserve the right to suspend or revoke access to the Micro Consulting Hub at any time without prior notice.

2. Portal Security and Passwordless Login

Access to the Micro Consulting Hub is restricted strictly to authorised Associates who have passed our screening process.

• Authentication is handled via passwordless single-use tokens ("Magic Links") delivered to your verified email address.

• You are entirely responsible for the security of your email inbox. You must not share, forward, or delegate your Magic Links, nor allow any unauthorised third party to view or navigate the Portal under your credentials.

3. Absolute Confidentiality of Transformation Briefs

The project briefs displayed within the Micro Consulting Hub contain non-public, sensitive commercial data regarding our Clients’ operational challenges, technological bottlenecks, budget allocations, and strategic vulnerabilities.

• The Obligation: By logging into the Micro Consulting Hub, you agree to treat all visible project data, client identities, and technical challenges as strictly confidential.

• Restrictions: You are strictly prohibited from downloading, screenshotting, scraping, copying, or distributing any text, data, or client details hosted within the Micro Consulting Hub. This data may only be used to evaluate whether you wish to express interest in being deployed for that specific engagement.

4. Commercial Non-Circumvention and Revenue Protection

All client opportunities, operational briefs, and technical requirements funneled through our systems are the exclusive business property of Lucifer Stoat Ltd. Both Clients and Associates are strictly bound by the following non-circumvention rules:

• For Clients: Any Associate introduced to you or deployed on your project via our ecosystem must be contracted, engaged, and remunerated exclusively through a formal corporate contract with Lucifer Stoat Ltd.

• For Associates: You must not directly or indirectly approach, pitch to, or contract privately with any Client whose identity or project brief was disclosed to you via the Associate Hub or our team. All communications and project delivery must be managed under a standard subcontractor/associate agreement with Lucifer Stoat Ltd.

• Restricted Period: This restriction applies for a period of twelve (12) months following the initial introduction or disclosure of a project brief.

• Enforcement: Bypassing Lucifer Stoat Ltd to arrange direct working relationships will result in immediate legal action for breach of contract, loss of professional fees, and inducing a breach of contract under English law.

5. Legal Relationship and Non-Agency Status

• Not an Employment Agency: Lucifer Stoat Ltd operates strictly as an independent management and technology consultancy delivering defined business outcomes. We do not operate as an employment agency, employment business, or recruitment firm. We do not introduce Associates for direct employment by our Clients, nor do we act as a talent placement agency.

• Independent Contractors: Members of our Associate Network operate entirely as independent corporate entities or sole traders. Unless explicitly governed by a separate, signed subcontractor agreement, Associates act strictly as independent B2B subcontractors to Lucifer Stoat Ltd and are not employees, legal partners, or agents of Lucifer Stoat Ltd or its Clients.

• No Representation: Access to the Micro Consulting Hub does not grant an Associate the right or authority to bind Lucifer Stoat Ltd to any financial commitments or legal liabilities, nor to represent themselves as permanent staff of the firm.

6. Intellectual Property & Prohibited Scraping

The unique arrangement, data schemas, code structures, content, and layout of our website and its connected Softr/Airtable database stack represent the proprietary intellectual property of Lucifer Stoat Ltd.

• The use of automated bots, spiders, scripts, scrapers, or manual high-volume copying to extract listings, associate profiles, or project briefs from our digital environments is strictly prohibited and constitutes a breach of computer misuse protocols.

7. Limitation of Liability

• Platform Availability: Our digital ecosystem relies on third-party cloud infrastructure (including Squarespace, Softr, and Airtable). While we aim for seamless access, we do not warrant that the Micro Consulting Hub will be completely error-free, uninterrupted, or immune to temporary downtime.

• Brief Accuracy: While we make reasonable professional efforts to diagnose client problems accurately, Lucifer Stoat Ltd makes no absolute warranties regarding the complete accuracy or scope of initial raw briefs submitted by clients before a formal discovery engagement begins.

8. Governing Law and Jurisdiction

These Terms, and any disputes or claims arising out of or in connection with them (including non-contractual disputes), shall be governed exclusively by, and construed in accordance with, the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
